Bookkeeper Agent End User License Agreement

1. What this software is
Bookkeeper Agent ("the Software") is private, internal software owned and operated by Jacobi RE Holdings LLC ("the Company"), a Delaware limited liability company.
The Software connects to QuickBooks Online company files owned or controlled by the Company in order to categorize transactions, check reconciliation status, and review bookkeeping quality.
2. Who may use it
The Software is licensed solely to the Company and to individuals the Company expressly authorizes. It is not distributed, sold, sublicensed, or made available to the public or to any third party, and it is not listed on the Intuit App Store or any other marketplace.
There are no paying customers, subscribers, or public end users. If you have obtained a copy of the Software without written authorization from the Company, you have no license to use it and must delete it.
3. License grant
Subject to this agreement, the Company grants each authorized individual a limited, non-exclusive, non-transferable, revocable license to use the Software solely for the Company's own internal bookkeeping and financial administration.
4. Restrictions
Authorized users may not:
- use the Software to access any QuickBooks company file that the Company does not own or control;
- copy, distribute, sublicense, sell, or otherwise make the Software available to any third party;
- remove or disable the confirmation, allowlist, audit logging, or other safety controls described in Section 5;
- use the Software in any way that violates the Intuit Developer Terms of Service, the QuickBooks Online Terms of Service, or applicable law.
5. Operating limits built into the Software
These limits are part of the Software's design and are described here so that their removal is understood to be a breach of this agreement:
- The Software can connect only to a fixed list of QuickBooks company files identified in its source code. Any other company is refused.
- The Software modifies only the expense account assigned to a transaction. It does not create, delete, or void transactions, change amounts, dates, or payees, alter the chart of accounts or bank rules, or move money.
- The Software will not modify a transaction that was categorized by a person, unless the Software itself categorized it earlier and has a record of doing so.
- The Software will not modify a transaction dated in a closed and filed tax year.
- Every change requires a person to confirm it at an interactive terminal. The Software cannot write from an unattended or scheduled run.
- Every change is recorded in an append-only audit log.
6. Professional responsibility
The Software assists with bookkeeping. It does not replace a qualified accountant or bookkeeper, and it does not provide tax, legal, audit, or financial advice.
All work performed by the Software is subject to review by the Company's accountants and bookkeepers, who retain responsibility for the accuracy of the Company's books and for the preparation and filing of returns. The Company remains responsible for its own financial records.
7. AI assistance
The Software is operated with the assistance of an artificial intelligence system. Accounting data read by the Software is transmitted to that system's provider for processing. See the Privacy Policy for details. Categorization decisions produced with AI assistance may be incorrect and are expected to be reviewed and corrected by a qualified human.
8. Intellectual property
The Software, including its source code, is the property of the Company. This agreement grants a license to use it and transfers no ownership.
9. No warranty
The Software is provided "as is", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Software.
11. Termination
The Company may terminate this license at any time. The license terminates automatically if an authorized user breaches this agreement. On termination, the user must stop using the Software and delete all copies and stored credentials.
12. Governing law
This agreement is governed by the laws of the State of Delaware, without regard to its conflict of law rules.
